Nonte Platform Terms of Use

Version 1.0, effective 29 October 2026

These Terms of Use apply to you as an individual user of the Nonte platform (the “Platform”). You will be asked to accept them when you next sign in, and again if they change materially. If you do not accept them, you cannot use the Platform.

1. Who these terms are between, and how they relate to your Organisation’s agreement

1.1 “Nonte”, “we” and “us” means Nonte Limited, a company incorporated in England and Wales with registered number 16363641, whose registered office is at Innovation Centre, Gallows Hill, Warwick CV34 6UW, United Kingdom, or, where your organisation’s agreement is with a Nonte affiliate, that affiliate.

1.2 You have access to the Platform because an organisation that has an agreement with Nonte for its use (the “Customer Agreement”) has given you an account. That organisation, which may be your employer or the sponsor or lead site of a study you work on, is your “Organisation”.

1.3 The Customer Agreement governs the relationship between your Organisation and Nonte, including data protection, confidentiality, security, liability and governing law. If anything in these Terms of Use conflicts with the Customer Agreement, the Customer Agreement prevails.

1.4 These Terms of Use set out how you, as an individual, may use the Platform. They do not add to, reduce or vary your Organisation’s rights or obligations under the Customer Agreement, and accepting them does not bind your Organisation to anything.

2. Your account

2.1 Your account is personal to you. Do not share your credentials, let anyone else use your account, or use anyone else’s account.

2.2 Use a strong, unique password and keep it confidential. Use multi-factor authentication where the Platform offers it or your Organisation requires it. If you sign in with your Organisation’s own account (single sign-on), your Organisation’s rules for that account apply.

2.3 If you think your account or credentials have been compromised, or you see activity you do not recognise, tell your Organisation’s Platform administrator and Nonte at straight away.

2.4 Your Organisation decides who has access to the Platform, which studies they can see and what they can do; Nonte changes access only on its instructions. Your access can be changed, suspended or removed at any time, and should be removed when you no longer need it.

3. Using the Platform

3.1 Use the Platform only for your Organisation’s research and operational purposes, within the studies and permissions your Organisation has given you, and in line with your Organisation’s policies.

3.2 Only enter or upload data that your Organisation is permitted to process in the Platform, under the approvals, consents, protocols and agreements that apply to the study (for example ethics or institutional review board approvals, participant consents, data sharing agreements and, where applicable, a business associate agreement). Enter only the personal or health information the study needs. If you export or download data, store and share it only as your Organisation’s policies allow.

3.3 You must not:

  1. attempt to access studies, records or data you have not been given permission to access, including data belonging to any other organisation using the Platform;

  2. attempt to identify any individual from data that has been coded, pseudonymised or de-identified, except where the study protocol and your Organisation permit it;

  3. upload or enter anything unlawful, or anything that infringes the rights of another person;

  4. interfere with, disrupt or overload the Platform, or introduce malicious code;

  5. probe, scan or test the security of the Platform, or circumvent any security or access control, without Nonte’s prior written agreement;

  6. extract data from the Platform by automated means other than through the export and integration features the Platform provides;

  7. copy, modify, reverse engineer or create derivative works of the Platform, except to the extent the law allows despite this restriction; or

  8. impersonate any person or misrepresent your identity or affiliation.

3.4 If you become aware of a possible breach of these Terms of Use, or of a security or data protection issue affecting the Platform, report it to your Organisation and to .

4. Audit trail and monitoring

4.1 The Platform keeps an audit trail. Records you create, change or delete are attributed to your account, with the date and time, and the previous values are retained so that the history of each record can be reconstructed. This is a core function of the Platform and supports the integrity of your Organisation’s research. Audit trail entries cannot be edited or deleted by users.

4.2 Nonte also records technical and security information about use of the Platform, such as sign-in events, IP addresses, browser details and error reports, to operate, secure and support the Platform. How Nonte handles this information is described in the Nonte Privacy Notice, which is linked from the Platform’s sign-in page.

5. Your Organisation’s data

5.1 Nonte does not own the data entered into the Platform by or on behalf of your Organisation; who owns it is a matter for your Organisation and its agreements. Nonte processes it only to provide, secure and support the Platform for your Organisation, as set out in the Customer Agreement.

5.2 Nonte does not sell your Organisation’s data, use it for its own purposes, or use it to train or improve artificial intelligence or machine learning models.

5.3 Questions about how study data is used, shared or retained, or requests to access or correct information about you that is held as part of a study, should be directed to your Organisation.

6. Suspension

6.1 Nonte may suspend your access, and will tell your Organisation, if it reasonably believes this is necessary to protect the security or integrity of the Platform or of any customer’s data, to comply with the law, or because of a breach of these Terms of Use.

7. Intellectual property

7.1 The Platform, its software and its documentation are owned by Nonte or its licensors. Nothing in these Terms of Use transfers any ownership to you. You may use the Platform only as set out in these Terms of Use and as your Organisation’s Customer Agreement allows.

8. Changes to these terms

8.1 We may update these Terms of Use from time to time. If a change is material, you will be asked to review and accept the updated version the next time you sign in. The current version, with its effective date, is linked from the Platform’s sign-in page.

9. General

9.1 These Terms of Use are governed by the law that governs the Customer Agreement or, if there is none, the law of England and Wales.

9.2 Nothing in these Terms of Use makes you personally liable to Nonte for any obligation of your Organisation.

9.3 Nonte’s commitments about the Platform, such as availability, support and security, are made to your Organisation in the Customer Agreement, not to you personally. Nothing in these Terms of Use limits any liability that cannot be limited by law.
